Job Description
Scope of Work:
The Attorney will provide legal counsel to the acquired businesses in the areas of corporate governance, commercial contracting, regulatory compliance, and general corporate matters.
Deliverables and Services:
- Drafts, reviews, negotiates, and advises on internal governance documents, corporate resolutions, and other legal documents related to day-to-day operations and commercial transactions.
- Develops and maintains legal templates, playbooks, and best practices to support acquisition workflows
- Provides legal oversight on integration activities, including commercial terms and operational harmonization
- Negotiates with existing, new and renewing customers.
- Has a deep understanding of the technology space and is able to close deals with limited supervision.
- Drafts and reviews legal correspondence, memoranda, and opinions as needed
- Advises and collaborates with Finance, Tax and Mergers and Acquisitions team on legal matters arising from corporate transactions
- Manages and oversees due diligence documentation and closing records for acquisitions
- Oversees maintenance and accuracy of corporate record books and entity management systems
- Establishes and maintains legal filing systems and document retention protocols
- Performs other legal projects or duties as assigned, including cross-functional matters involving finance and accounting
Qualifications
Qualifications and Skills
- Must be highly detail-oriented with the ability to independently analyze and draft complex legal documents
- Highly organized with the ability to manage multiple concurrent matters
- Strong prioritization skills
- Self-motivated with the ability to exercise independent legal judgment
- Ability to multi-task effectively in a fast-paced environment
- Excellent written and verbal communication skills, including the ability to present legal analysis to senior leadership
- Ability to properly handle confidential information and records
- Willing to perform all levels of work
- Proficient in Microsoft Office (Word, Excel & Outlook)
- Experience in a corporate legal department or law firm corporate practice required
- Experience with corporate governance and entity management required
Education/Experience:
- Juris Doctor (J.D.) from an ABA-accredited law school
- Active bar admission in at least one U.S. jurisdiction
- 3 or more years of relevant legal experience in corporate law, M&A, or governance
