WE ARE LOOKING FOR
We are seeking a Legal Counsel to join our dynamic team in The Netherlands. As Legal Counsel, you will be responsible for ensuring the legal security of the company’s real estate activities and supporting its development strategy, while acting as a trusted legal business partner enabling commercially sound decision-making and sustainable business growth.
SOME OF THE INTERESTING CHALLENGES AHEAD OF YOU
Commercial Leasing and Asset Management
- Draft, review, and negotiate lease agreements, renewals, amendments, termination agreements, and ancillary documentation, ensuring consistency with legal and business standards.
- Structure and secure leasing transactions, including renewals, terminations, assignments, and subleases.
- Advise asset management, leasing, and operational teams on day-to-day legal matters, balancing risk mitigation with commercial objectives.
- Foster constructive communication and problem-solving between internal stakeholders and external counterparties, including tenants, contractors, and advisors.
- Proactively identify legal and operational risks and provide pragmatic, business-oriented solutions in complex and time-sensitive situations.
- Support lease management initiatives and portfolio-wide leasing strategies.
Litigation and Dispute Management
- Define dispute resolution and litigation strategies in coordination with external counsel.
- Manage disputes relating to leasing, construction, property management, service agreements, debt recovery, and other real estate matters.
- Coordinate external advisors and experts in contentious matters.
- Monitor legal risks and propose practical and commercially sensible settlement solutions where appropriate.
- Take ownership of dispute resolution strategy and risk management, ensuring alignment with business objectives and risk appetite.
Development Projects and Transactional Advisory
- Provide legal support throughout development, acquisition, investment, financing, refinancing, and disposal transactions.
- Support the structuring and execution of joint ventures, co-investments, and financing arrangements, working closely with investment, finance, and external advisors.
- Lead legal workstreams across transactions, ensuring effective legal risk management and alignment with commercial objectives.
- Draft, review, and negotiate preliminary transaction documents, including LOIs, NDAs, exclusivity agreements, and term sheets.
- Draft, negotiate, and manage construction, design, consultancy, development, property management, and service agreements.
- Coordinate and review legal due diligence processes, managing external counsel and reporting key findings and recommendations.
- Collaborate closely with investment, development, asset management, finance, and operational teams to align legal advice with business objectives and project timelines.
- Influence and align stakeholders across functions to facilitate efficient and legally sound project execution.
Corporate Legal and Transaction Structuring
- Oversee corporate legal matters, including company incorporations, restructurings, governance matters, board and shareholder resolutions, annual corporate compliance, and intra-group transactions.
- Support legal structuring of acquisitions, financings, refinancings, joint ventures, restructurings, and asset disposals.
- Draft, review, and maintain intercompany agreements, including asset management, development, recharge, accounting, financing, leasing, and service agreements.
- Coordinate with lenders, notaries, external counsel, and other transaction stakeholders to ensure timely execution of transactions.
- Manage corporate housekeeping requirements and maintain accurate legal records and document management systems in line with internal policies and compliance requirements.
Strategic Advisory and Compliance
- Implement and monitor compliance policies and procedures, including GDPR, anti-corruption, sanctions, and other applicable regulatory requirements.
- Maintain active legal monitoring of developments in real estate, corporate, and commercial law.
- Drive governance and compliance initiatives, ensuring adherence to regulatory requirements, internal policies, and best practices.
- Provide strategic legal insight to management on regulatory developments, legal risks, and business implications.
- Support the business in establishing robust contractual, governance, and risk management frameworks.
Legal Function Organisation
- Reorganize and build the legal services function within the Dutch team to meet the structural and quality standards of the broader legal team.
- Ensure compliance of the Dutch business with internal policies relating to legal, compliance and operational matters.
- Regularise engagements and monitor the work and legal costs of external counsel and notaries in line with the broader legal team's reporting structures and standards.
WHAT YOU NEED TO SHINE IN THIS ROLE
- Master’s degree in Law; specialization in Real Estate Law, Commercial Law, Corporate Law, or a related field preferred.
- Minimum of 6+ years PQE (Post-Qualification Experience), ideally gained within a real estate investment company, law firm, developer, asset manager, or international real estate platform.
- Strong expertise in real estate transactions, acquisitions and disposals, commercial leasing, development projects, corporate law, financing structures, and dispute management.
- Proven ability to manage complex, time-sensitive matters independently while providing pragmatic, commercially oriented legal advice.
- Experience working in an international environment is highly desirable.
- Excellent knowledge of Dutch real estate, commercial, and corporate law.
- Strong drafting, negotiation, analytical, and transaction execution skills.
- Commercially driven mindset with the ability to balance legal risk, business priorities, and value creation.
- Excellent stakeholder management, communication, and influencing skills.
- Strategic and operational mindset with a solution-oriented and pragmatic approach.
- Rigorous, detail-oriented, and able to prioritize multiple complex matters.

- Fluent in English and Dutch.
